If you do not agree with these Terms, you should not use the website or engage our services.
Developer Desk provides digital technology and development services, which may include:
The exact scope, features, deliverables, timeline, technology, pricing, and support terms for each project may be defined separately in a quotation, proposal, work order, agreement, invoice, or other written communication.
Development work will be performed according to the agreed project scope.
Any feature, functionality, integration, content, design, revision, or requirement outside the agreed scope may be treated as additional work and may involve additional charges and timeline adjustments.
Clients are responsible for providing accurate and timely information, content, credentials, approvals, feedback, branding materials, and other resources reasonably required to complete the project.
Delays in receiving required information, approvals, content, access credentials, or feedback may affect the project timeline and delivery date.
Payment terms will be communicated and agreed upon before or during the commencement of a project.
Depending on the project, payments may be structured as an advance, milestone payments, recurring payments, or final payment upon completion.
Failure to make payments within the agreed period may result in suspension or delay of development, deployment, support, hosting, or other services.
Unless otherwise agreed in writing, intellectual property ownership and usage rights for custom-developed deliverables will be governed by the applicable project agreement.
Upon receipt of all agreed payments, ownership of eligible custom-developed project deliverables may be transferred to the client as specified in the project agreement.
Developer Desk may retain ownership of its pre-existing frameworks, libraries, reusable components, tools, methodologies, development processes, and third-party software unless otherwise agreed in writing.
Projects may require third-party software, APIs, hosting, plugins, themes, payment gateways, licenses, subscriptions, or other external services.
Such services may be subject to separate terms, pricing, availability, and policies of their respective providers. Developer Desk is not responsible for changes, outages, restrictions, or discontinuation of third-party services.
The client is responsible for ensuring that all text, images, logos, videos, documents, data, trademarks, and other materials supplied to Developer Desk are legally owned, licensed, or otherwise authorized for use.
Developer Desk shall not be responsible for claims arising from unauthorized or unlawful materials supplied by the client.
Any warranty or complimentary support period applicable to a project will be specified in the relevant proposal, quotation, or agreement.
Unless otherwise agreed in writing, requests for new functionality, major modifications, third-party changes, or issues caused by unauthorized modifications may be treated as additional services.
Estimated delivery timelines are based on the agreed scope and timely cooperation from the client.
Delivery timelines may change due to scope changes, delayed approvals, delayed content, third-party dependencies, technical issues, or circumstances outside our reasonable control.
Developer Desk will make reasonable efforts to provide reliable and professional services. However, we do not guarantee that websites, applications, software, or third-party services will always operate without interruption or errors.
To the maximum extent permitted by applicable law, Developer Desk shall not be liable for indirect, incidental, special, consequential, or loss-of-profit damages arising from the use of our services.
Either party may terminate a project or service arrangement in accordance with the applicable project agreement.
In the event of termination, the client remains responsible for payment for work completed, services provided, approved expenses, and other amounts due up to the termination date, subject to the applicable agreement.
Both parties agree to take reasonable measures to protect confidential information exchanged during the course of a project.
Confidential information shall not be disclosed to third parties except where required for legitimate project execution, legal compliance, or with appropriate consent.
Unless otherwise agreed in writing, Developer Desk may showcase completed work, project descriptions, screenshots, or the client name/logo in its portfolio and promotional materials.
A client may request restrictions on such use by contacting Developer Desk before project completion or as otherwise agreed in writing.
Developer Desk reserves the right to modify or update these Terms from time to time. Changes will become effective when posted on this website.
These Terms shall be governed by and interpreted in accordance with the applicable laws of India.
